Terms and Conditions

These terms and conditions shall apply to your use of the System Planning Test (SPLAT) model of the International Renewable Energy Agency (referred to herein as "IRENA" and “we”). The SPLAT model and any content made available therein are referred to herein as "the SPLAT model”.

By requesting to access and/or using the SPLAT model, you acknowledge that you have read and agree to the terms and conditions below. IRENA reserves the right to update or otherwise change these terms and conditions at any time without notification. Use of the SPLAT model will be deemed in acceptance of the terms existing at that time.
1.            Acceptable Use
You agree that you will not (nor attempt to) use the SPLAT model in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

2.            Intellectual property rights
2.1           Unless otherwise stated, the copyright and other intellectual property rights in the SPLAT model are owned by IRENA. Subject to paragraph 2.2, you are permitted to use, access, copy, download, reproduce, print and/or store the content made available through the SPLAT model, subject to acknowledgement of IRENA as the source.
2.2          Content in the SPLAT model attributed to third parties may be subject to third-party copyright and separate terms and conditions for its use. You are responsible for verifying and complying with these terms and conditions and for requesting permission directly from such third parties as may be required for any use of such content.
2.3          Unless expressly authorised in writing by IRENA, you shall not use the name, emblem or official seal of IRENA, or any abbreviation thereof, in connection with your business or otherwise. If you become aware of any such distribution or commercial use, you agree to notify IRENA immediately.

3.            Disclaimer
3.1          You understand that the content, including SPLAT model results and analysis provided by the SPLAT model are designed to help you gather the information you need to help you make your own decision. However, you are responsible for your own decisions and for properly analysing and verifying any information you intend to rely upon. The content in the SPLAT model shall not, in any case, replace or be used instead of existing laws, regulations and official guidelines issued by relevant authorities in the respective countries.
3.3          By using the SPLAT model, you accept that IRENA, its officials, employees, data or other third-party content providers, shall not, under any circumstances, be responsible or liable to you for any kind of loss, damage, liability or expense incurred or suffered (including all loss of profit, loss of use, loss of revenue, loss of contracts, increased costs and expenses and all special, indirect and consequential losses) which is claimed to result from the use of the SPLAT model, from reliance on the content thereon, or through links to third-party content.
3.4          Except where expressly stated, the content provided by the SPLAT model does not necessarily represent the views of IRENA and/or individual IRENA Members.

4.            Privacy policy
4.1          You understand that IRENA will collect personal Information (such as name, e-mail address, institution) when you request to use the SPLAT model.
4.2          IRENA reserves its right to disclose any of the above information when required by applicable laws and regulations and/or requests under legal process; in case of suspected unlawful, improper or inappropriate conduct for referral to appropriate authorities; to detect, prevent or otherwise address breach of the present terms and conditions, or any related security or technical issues; to protect our property or rights; and to safeguard the interests of our users and/or IRENA Members.
4.3          IRENA reserves its right to only use the above-referred information collected through your request and/or use of the SPLAT model:
(a)          to provide, maintain, protect and improve the SPLAT model, and to protect IRENA and the SPLAT model users;
(b)          to understand how the users use the SPLAT model and better identify the categories of users of the SPLAT model and the data, tools and technologies they use, in order to improve the usefulness of the SPLAT model for IRENA members; and
(c)           for statistical and reporting purposes.
4.4          IRENA may use your personal information to communicate with you, including to inform you about changes or improvements to the SPLAT model or to resolve any issue arising out in the course of your use of the SPLAT model.
4.5          IRENA will ask for your consent before using information collected through your request and/or use of the SPLAT model for a purpose other than those set out in these terms and conditions.
4.6          IRENA assumes no responsibility for the privacy policies on any third-party websites.

5.            Indemnification and Settlement of Disputes
5.1          You agree to indemnify, defend and hold IRENA harmless from any liability, loss, claim, and expense related to your breach of these terms and conditions.
5.2          Any dispute, controversy or claim that arises between the users and IRENA in connection with the use of the SPLAT model shall be resolved in accordance with the United Nations Commission on International Trade Law (UNCITRAL) arbitration rules as at present in force.

6.            Modification of Terms and Conditions
IRENA reserves the right to change or modify the present terms and conditions applicable to the use of the SPLAT model at any time. Such changes and modifications, including additions or deletions, to the terms and conditions shall be effective immediately upon notice thereof, which may be given by any means including, but not limited to, posting new terms and conditio
